Meseekna Metacognition — Terms of Service & End User License Agreement
These Terms govern your use of the Meseekna Metacognition desktop application for macOS (the "App"), published by Cerebral Ninja, Inc. By installing or using the App you accept these terms.
1. Availability
The App is offered only to users located in the United States. It is not directed to, intended for, or made available to users in the European Economic Area, the United Kingdom, or Switzerland, and we do not target or knowingly provide it to users in those regions.
2. Eligibility
You must be at least 13 years old and have legal capacity to enter into this agreement.
3. Accounts
You may sign in using Sign in with Apple, Google Sign-In, or email-based one-time codes. You are responsible for safeguarding your sign-in method, for activity under your account, and for keeping your contact information accurate. We may suspend or terminate accounts that violate these terms. You can delete your account at any time in the App under Account → Delete Account.
4. License
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on Mac computers you own or control, for your personal or internal business use. You may not: redistribute, sell, rent, sublicense, or make the App available to third parties; reverse engineer, decompile, or disassemble the App except to the extent applicable law expressly permits despite this limitation; remove or alter proprietary notices; or use the App to violate law or third-party rights.
5. AI-powered coaching is a feature of the App
The App's coaching is a feature of Meseekna Metacognition, powered by third-party large language models. Your license is to the App only; it does not grant you, and you may not resell, any right to any underlying model or model provider's services. Availability of the AI feature depends on a third-party provider and may change, be limited, or be discontinued.
6. AI output disclaimer
Coaching and other output generated by the App are AI-generated and labeled as such. They may be inaccurate, incomplete, or unsuitable for your situation, and are provided for informational and self-reflection purposes only. They are not professional, medical, legal, financial, or psychological advice. You are solely responsible for any decisions you make. You agree to use the AI feature lawfully and not to attempt to misuse it or generate prohibited content.
7. Accessibility (AX) permission and revocation
The App's coaching feature requires macOS Accessibility permission. You may grant or revoke this permission at any time in macOS System Settings. Revoking it will cause coaching to stop functioning until you re-grant it; this is expected behavior, not a defect.
8. Automatic updates
The App uses the Sparkle update framework to check for, download, and install updates. By using the App you consent to these update checks.
9. Third-party / open-source software
The App includes third-party open-source software, including the Sparkle update framework (MIT License). A complete list of components and their licenses is available in the App's Acknowledgements screen.
10. Disclaimer of warranties; assumption of risk
The App and its AI features are provided as a beta release solely for testing and evaluation, and you acknowledge that all features, models, and outputs are experimental, may be incomplete or inaccurate, and may change, break, or be removed at any time without notice. The App may malfunction, behave unpredictably, or produce incorrect, incomplete, or harmful outputs, and you assume all risks associated with the use of beta-phase functionality. By using the beta release, you assume all associated risks and grant us a perpetual, irrevocable, royalty-free license to use any feedback you provide for any purpose, and you understand that we have no obligation to release a commercial version of the App or maintain any particular features. THE APP AND ITS AI FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CEREBRAL NINJA, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP OR RELIANCE ON ITS OUTPUT. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF AMOUNTS YOU PAID FOR THE APP IN THE PRIOR 12 MONTHS OR USD $100.
12. Indemnification
You agree to indemnify and hold harmless Cerebral Ninja, Inc. and its officers, directors, employees, and agents from any claim arising out of your misuse of the App, your violation of these terms, or your violation of applicable law or third-party rights.
13. Termination
We may suspend or terminate your access for violation of these terms. You may stop using and uninstall the App at any time; provisions that by their nature should survive (license restrictions, disclaimers, limitation of liability, indemnification, governing law) will survive termination.
14. Governing law and venue
These terms are governed by New York law (excluding conflict-of-laws rules), with exclusive venue in the state or federal courts located in Syracuse, New York.
15. Changes
These terms may be updated from time to time, and Cerebral Ninja, Inc. reserves the right to make changes at its discretion. The date these terms were last revised is identified at the top of the page. For nonmaterial changes, we will update the "Last updated" date at the top of the terms and post the revised version. For material changes, we will provide you with a notice, such as an in-app notification, and may require you to re-accept the updated terms.
